The Exclusive Resale Rights JV is organized and managed by four companies:

• eNewsWriters, Inc. responsible for copy support, web site presence and public relations,
• Net Distributor Express, Inc., with expertise in setting up online distribution systems,
• NetPartners Marketing Corporation, a long-established online marketing company; and
• JV Services International, Inc. which specializes in joint ventures and teleseminars.

These companies have excellent management and a strong contact base combined with special marketing and communications techniques.

EXAMPLE OF AN XRR Joint Venture Program

A. JV participants agree to license a product or service to a limited number (not more than 500 for this campaign) of inviduals or companies.

B. We will bundle licenses to create a very attractive value for prospective licensees. For example, we may bundle five software products and license resale rights for $495.

C. Licenses of product/service bundles will be sold at a price ranging from $495 to $995, depending on our estimates of market value.

D. Licensees will have resale rights to product/service bundles, but will pay a royalty to licensors.

E. Licensees will have to meet minimum sales standards to maintain their licensing rights.

F. At the same time that the licenses are being sold, the entire set of products and services will also be sold as a package to take advantage of the marketing effort.

G. Participants agree to market the program to their contacts, cooperate in cross-linking activities, and agree to pay for an equal share of the program's marketing costs, consisting of purchased visitor traffic, ad exposures and ezine ads.

H. Affiliates are encouraged to promote the LRR Joint Venture and will receive commissions on sales of both licensing fees and product/service packages. They will not have access to the products/services themselves. Only affiliates who are referred by the JV participants will be accepted.

Benefits for Licensors

In addition to the sale of the licenses, JV participants will receive large commissions on product sales.

1. You will receive pro-rated share of 75% of payments on your product's license bundle (we will bundle 3-7 compatible/complementary products and services and price licenses accordingly.)

2. You have the right to promote this exclusive package (item F in the previous section) and will receive $200 from first level sales.‚ You also will be able to recruit up to 10 top affiliates and receive $100 on each of their sales.

3. Full advertising exposure for the duration of the campaign. Your product/service information and relevant links will be displayed on campaign pages. JV participants have sold as much as $1,000 or more of their products with similar programs.

4. A complete list of all product and license buyers will be made available to JV participants. This list of $500+ buyers will be very valuable to "backend" or present your other products and services.

5. JV participants will be able to receive a copy of each contributed product and access to contributed services (for a specified period of time.) Sharing of these high quality products and services alone is well worth participation in the JV.

6. Continued exposure and marketing of product and service bundles. In organizing and promoting the LRR Joint Venture program we are launching a marketing juggernaut. Our experience will increase marketing effectiveness for all JV participants.

7. Priority eligibility to participate in future JV's. We are planning additional limited resale rights marketing JV's. If you have other products and/or develop more products you will receive priority in being able to join future JV's.
